In-house Legal & Compliance Associate
In-house Legal & Compliance Associate
Overall Job Responsibilities:
- Provide support to In-house legal and Compliance
- Ability to support Investment Operations Team.
- Draft documents in connection with financing transactions, acquisitions, and investor relations.
- Draft NDAs, promissory notes and investor subscription agreements.
- Draft new entity operating agreements with assistance from in-house legal and external counsel as necessary.
- Prepare drafts of real property contracts, amendments, and statements of work.
- Prepare first drafts of corporate governance documents, correspondence, compliance certifications, and other documents as directed.
- Correspond with internal departments and external counsel on transactional and other matters.
- Maintenance of PSAs, Loan Agreements, and other legal agreements in Landfolio (TTLC’s legal obligations management platform)
- Assist in the preparation and maintenance of a database to monitor contractual provisions, and compliance requirements.
- Assist in updating and maintaining template agreements.
- Draft letters, emails and other correspondence with regards to HR, Financing and Investment operational tasks.
Compliance Functions:
- Monitor business processes
- Use routine audits to identify potential compliance risks
- Help implement policies, systems, or controls to reduce risk
- Educate employees about regulatory and legal requirements
- Stay up to date with regulatory changes
SKILLS REQUIRED/PREFERRED:
- The candidate should have varied background, yet highly experienced with corporate/transactional matters. Should have 5+ years of experience.
- Paralegal Degree or Certification required; Bachelor’s degree preferred
- Knowledge of any relevant regulatory standards or compliance requirements
- Experience in working with a Fund Manager or private equity
- Strong computer skills, including advanced proficiency with Microsoft Office products (Word, PowerPoint, Outlook; intermediate proficiency with Excel)
- Ability to maintain a high level of confidentiality at all times
- Ability to effectively work and communicate with all departments and employees regarding essential duties/responsibilities described above
- Excellent organizational skills and the ability to manage multiple projects simultaneously
- Strong understanding of standard contract language and general business operations
- Excellent communication and writing skills
- Very strong attention to detail and accuracy of information
- Consistent exercise of sound business judgement and discretion
- Ability to take direction and guidance and develop independence with respect to workload
- Ability to effectively work and communicate with all departments and employees regarding essential duties/responsibilities described above

Salary Range
$70,000-$77,000
